1. Scope
These Terms and Conditions ("Terms") govern all quotations, sales contracts, and deliveries of solid albasia (sengon) edge-glued panels and related wood products supplied by PT DK Timber Solid Board Indonesia ("Seller") to its customers ("Buyer"). By placing an order with the Seller, the Buyer accepts these Terms in full. Any deviation must be agreed in writing.
2. Quotations & Orders
Quotations are valid for thirty (30) days from the date of issue unless otherwise stated. The minimum order quantity (MOQ) is one (1) × 40HC container. Orders are confirmed only upon receipt of a signed proforma invoice and the agreed deposit.
3. Pricing & Payment
All prices are quoted in USD and are exclusive of duties, taxes, and destination charges unless explicitly stated. Standard payment terms are 30% deposit by T/T upon order confirmation and 70% balance against scanned copy of the Bill of Lading. Irrevocable L/C at sight may be accepted for established buyers.
4. Delivery & Incoterms
Deliveries are made under Incoterms® 2020 as specified on the proforma invoice (typically FOB Tanjung Emas, Semarang; CIF or CFR destination port also available). Standard lead time is 25–35 days from deposit receipt. Shipping dates are estimates and not binding; the Seller is not liable for carrier delays.
5. Quality & Inspection
Products are manufactured to the specifications confirmed on the proforma invoice and comply with SVLK, FSC Chain of Custody, ISO 9001:2015, JIS F☆☆☆☆, and ISPM 15 standards as applicable. Third-party pre-shipment inspection (SGS, BV, Intertek) is permitted at the Buyer's cost. Any quality claim must be submitted in writing within fourteen (14) days of arrival at the destination port, with photographic evidence and inspection report.
6. Title & Risk
Title to the goods passes to the Buyer upon receipt of full payment. Risk passes in accordance with the agreed Incoterm.
7. Force Majeure
The Seller is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, strikes, port closures, government action, pandemic, or shortage of raw materials. Affected obligations are suspended for the duration of the event.
8. Intellectual Property
All product designs, technical data sheets, brand names, and marketing materials remain the exclusive property of the Seller and may not be reproduced or redistributed without prior written consent.
9. Confidentiality
Pricing, technical specifications, and any non-public information exchanged between the parties shall be treated as confidential and used solely for the purpose of the commercial relationship.
10. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Indonesia. Any dispute arising out of or in connection with these Terms shall be finally resolved by arbitration administered by the Indonesian National Board of Arbitration (BANI) in Jakarta, in the English language, in accordance with its rules.
